These Terms of Service ("Terms") are a binding agreement between you and ClearCoach Academy, LLC, a Texas limited liability company ("ClearCoach Academy," "CCA," "we," "us," or "our"). They govern your use of clearcoachacademy.com, our web and mobile applications, the Coach Portal, the Organization Admin Panel and Org Suite, the Parent Companion, the public verification portal, Coaches Corner, and every related course, credential, tool, and communication (together, the "Services").
Please read Section 18 carefully. It requires most disputes to be resolved by individual binding arbitration and waives your right to a jury trial and to participate in a class action.
1. Acceptance of these Terms
By creating an account, clicking "I agree," purchasing a course or license, or otherwise using the Services, you accept these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.
If you accept these Terms on behalf of an organization, such as a league, club, school, association, or team (an "Organization"), you represent that you have authority to bind that Organization. In that case, "you" includes the Organization. A separate signed agreement between CCA and an Organization controls over these Terms where the two conflict.
2. Who may use the Services
- Coaches and Organization administrators must be at least 18 years old, or the age of majority where they live if higher.
- Junior and assistant coaches ages 13 to 17 may use the Coach Portal only when enrolled by a licensed Organization and with the consent of a parent or legal guardian, who agrees to these Terms on the minor's behalf and is responsible for the minor's use.
- Parents and guardians must be at least 18 to register for the Parent Companion.
- Children under 13 may not create an account or submit personal information to us directly. Athlete information may enter the Services only through an Organization or a parent, as described in our Privacy Policy.
You may not use the Services if you are barred from coaching or working with minors by any court, government agency, sport governing body, or the U.S. Center for SafeSport, or if we have previously terminated your account.
3. Accounts and security
You agree to give us accurate, current, and complete information and to keep it updated. Use your legal name on a coach account, because it appears on your credential and in public verification results.
You are responsible for all activity under your account. Keep your password confidential, do not share your login, and notify us right away at support@clearcoachacademy.com if you suspect unauthorized access. Each account belongs to one person. No one may take a course, lesson, quiz, or continuing education requirement on behalf of another person.
4. The Services
CCA provides online youth coaching education organized by gender and age band, including video lessons delivered by AI-generated instructors, quizzes, downloadable materials, training credentials, continuing education, the Coaches Corner AI assistant and community features, Organization compliance tools, the Org Suite, and parent resources. We may add, change, or retire features, courses, and content at any time. If we discontinue a paid course you have not completed, we will give you a comparable course or a prorated refund.
We aim to keep the Services available but do not promise uninterrupted access. Maintenance, outages, and events outside our control may affect availability.
5. Training credentials
5.1 What a credential is
When you complete a course and pass its assessment, we issue a training credential (for example, "Clear Coach Trained," Level 1, Level 2, or Level 3) with a unique credential ID. A credential confirms that you completed CCA training on the date shown. It is not a license, government certification, accreditation, background check, or guarantee of your fitness, character, or competence to coach. No credential authorizes you to coach where any law, governing body, or Organization requires something more.
5.2 Assessments
Course quizzes require a passing score set by CCA, currently 80%. Retries may be subject to a waiting period. Your answers must be your own. Using another person, an answer key, or an automated tool to complete an assessment is cheating.
5.3 Validity, continuing education, and renewal
Credentials remain valid for the period stated at issuance, currently two years, subject to completion of any required annual continuing education. If you do not complete continuing education or renew on time, your credential status will change to lapsed or expired. Current requirements and renewal fees are shown in your account and at checkout.
5.4 Your credential belongs to you
Credentials are issued to the individual coach. If you leave an Organization, or an Organization removes you from its license, credentials you already earned stay with you through their validity period. The Organization's license will no longer fund new enrollments or renewals, which you may then purchase yourself.
5.5 Public verification
Anyone may look up a credential through our verification portal, by credential ID or QR code. By accepting a credential, you agree that we may display your name, course or track, level, status (such as active, expired, revoked, or superseded), issue and expiration dates, and, where applicable, the Organization that sponsored the credential. We do not publish your email, contact details, or quiz scores.
5.6 Suspension and revocation
We may suspend, revoke, or decline to issue a credential if we reasonably believe it was obtained through cheating, false information, or account sharing; if you are barred from working with minors; if you are the subject of a credible finding of abuse, misconduct, or a serious safety violation; or if you materially breach these Terms. Where practical, we will notify you and give you a chance to respond before revocation. A revoked credential will show as revoked in verification results.
In plain terms
Your credential shows you completed CCA training. It is portable and yours to keep. It is not a license to coach, and it can be revoked if it was earned dishonestly or if you are found to have harmed a child.
6. Organization accounts
If you purchase a license as an Organization, these additional terms apply:
- License scope. Licenses are annual, priced by sport and athlete registration range as shown at checkout or in your order. Each license lets your coaches access CCA courses during the license term.
- Accurate counts. You agree to report athlete ranges and estimated coach counts in good faith and to update them at each renewal. We monitor usage, and if usage materially exceeds what you reported, we may adjust your tier on your next renewal or ask you to upgrade.
- Administrators. You are responsible for the people you appoint as administrators and for all activity in your Organization account.
- Coach data. Your administrators can see your coaches' enrollment, progress, completion, and credential status. You will use that information only to manage your program and in compliance with law.
- Compliance badge. If we provide a training compliance badge or public Organization page, you may display it only while you meet the criteria we publish and only as we permit. You may not state or imply that CCA endorses, supervises, insures, or vouches for your Organization or any individual.
- Your own obligations. You remain solely responsible for screening, hiring, supervising, and removing coaches and volunteers; conducting required background checks; meeting SafeSport, state, and governing-body requirements; and the safety of your athletes and programs.
7. Org Suite and athlete data
The Org Suite lets Organizations manage registration, rosters, payments, documents, volunteers, communications, and related operations. When an Organization uses the Org Suite:
- The Organization decides what athlete, parent, and volunteer information to collect and is responsible for having a lawful basis and all required notices and consents, including verifiable parental consent for children under 13 where the Children's Online Privacy Protection Act ("COPPA") applies.
- CCA processes that information on the Organization's behalf and according to its instructions, these Terms, and our Privacy Policy.
- Payments. Registration fees, donations, sponsorships, and store purchases that an Organization collects through the Org Suite are processed by Stripe through the Organization's own connected account. The Organization is the merchant of record and is solely responsible for its prices, refunds, taxes, and disputes with its families. CCA is not a party to those transactions. Payment processing and messaging fees pass through to the Organization.
- Background checks. If an Organization orders background checks through a third-party provider linked in the Services, the Organization is the user of those reports and is responsible for complying with the Fair Credit Reporting Act and similar laws, including disclosure, authorization, and adverse-action requirements. CCA does not perform background checks or make eligibility decisions.
8. Fees, billing, and automatic renewal
8.1 Prices
Prices for individual courses, bundles, credential renewals, and Organization licenses are shown at checkout or in your order form. Prices are in U.S. dollars and exclude applicable taxes, which you agree to pay. We may change prices for future terms with at least 30 days' notice before your next renewal.
8.2 Payment
Payments are processed by Stripe, Inc. By providing a payment method, you authorize us and Stripe to charge it for all amounts due, including renewals. We do not store your full card number.
Automatic renewal. Organization licenses renew every year, and coach credential renewals renew at the end of each credential period, automatically and at the then-current price, until you cancel. We will charge your payment method on or around your renewal date. We will email you a reminder at least 30 days before each renewal with the amount and date. You may cancel at any time in your account settings or by emailing support@clearcoachacademy.com. Cancellation takes effect at the end of the current term.
8.3 Failed payments
If a payment fails, we will send a payment link and allow a grace period, currently 14 days. If payment is not received by the end of the grace period, we may pause access to paid features until the balance is paid. Earned credentials are not revoked for nonpayment, but they may lapse if renewal is not paid.
8.4 Refunds
- Individual courses and bundles. You may request a full refund within 14 days of purchase if you have not attempted the course quiz. After that, purchases are non-refundable.
- Organization licenses. You may cancel a new license within 14 days of the initial purchase for a full refund if no coach has completed a course under it. Otherwise, license fees are non-refundable and are not prorated for partial terms, mid-year changes, or unused seats.
- Renewals. If you forgot to cancel an automatic renewal, contact us within 14 days of the charge. We will refund it if the renewed term has not been used.
Nothing in this section limits any refund right you have under applicable law.
8.5 Promotions and discounts
Discounts, launch rates, and promotional pricing apply only as stated in the offer, have no cash value, and may not be combined unless we say so.
9. Parent Companion and feedback
Parents and guardians may use the Parent Companion free of charge. If you submit feedback, ratings, or comments about a coach or Organization, you agree that it will be honest, based on your own experience, and free of threats, harassment, discriminatory remarks, and personal information about children. We may moderate, edit for length, decline to publish, or remove feedback. Organizations generally see feedback in aggregate form, as described in our Privacy Policy.
Feedback is not a reporting channel for abuse or emergencies. If a child is in danger, call 911. Report suspected child abuse to your state's child protective services agency or local law enforcement, and report abuse or misconduct in sport to the U.S. Center for SafeSport at uscenterforsafesport.org.
10. Coaches Corner and AI features
Our lessons are presented by AI-generated video instructors, and Coaches Corner includes an AI assistant that answers questions using CCA training materials. AI output can be incomplete or wrong. Use your own judgment and verify anything important. Do not enter personal information about athletes, health details, or other sensitive information into AI features. AI output is not medical, mental health, legal, or safety advice, and it does not change these Terms or your obligations.
Community features in Coaches Corner are for credentialed coaches. Be respectful, keep discussions relevant to coaching, and do not share identifying information about any minor.
11. Text messages and notifications
If you provide a mobile number and opt in, CCA and Organizations using the Org Suite may send you account, training, renewal, schedule, and program notifications by text message. Message frequency varies. Message and data rates may apply. Reply STOP to cancel or HELP for help. Consent to receive texts is not a condition of any purchase. Carriers are not liable for delayed or undelivered messages. We may also send push notifications and transactional emails, which you can manage in your device or account settings, except for messages required to operate your account.
12. Acceptable use
You agree not to:
- Share, resell, sublicense, record, download, scrape, or redistribute courses, videos, quizzes, answer keys, or other content, except as the Services expressly allow.
- Share your login, take assessments for another person, or misrepresent your identity, credentials, or affiliation.
- Display a CCA credential, badge, or logo that is expired, revoked, or not yours, or alter any credential or certificate.
- Upload or share content that is unlawful, harassing, hateful, sexually explicit, or that exploits or endangers minors in any way.
- Upload images or identifying information of minors without the authority and consents the law requires.
- Interfere with, probe, or attempt to bypass the security, rate limits, or access controls of the Services, including the verification portal.
- Reverse engineer the Services, or use them to build a competing product, train an AI model, or benchmark for competitive purposes.
- Use the Services to send spam or unauthorized marketing, or in violation of any law.
We may investigate violations and take any action we consider appropriate, including removing content, suspending or terminating accounts, revoking credentials, and cooperating with law enforcement and child-protection authorities.
13. Intellectual property
The Services and all content in them, including curricula, scripts, videos, AI instructor likenesses, quizzes, textbooks, graphics, software, and the ClearCoach Academy, Clear Coach Trained, and shield marks, are owned by CCA or its licensors and protected by intellectual property laws. Subject to these Terms and payment of applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the content for your own coaching education and, for downloadable materials, for use with your own teams. All other rights are reserved.
You may share your credential, certificate, and verification link to show that you completed CCA training. Organizations may use the compliance badge only as permitted under Section 6.
13.1 Your content
You keep ownership of content you submit, such as profile information, documents, posts, and feedback. You grant CCA a worldwide, royalty-free license to host, store, reproduce, display, and process that content as needed to operate, improve, and provide the Services. If you send us ideas or suggestions, we may use them without obligation to you.
13.2 Copyright complaints
If you believe content on the Services infringes your copyright, send a notice under the Digital Millennium Copyright Act to support@clearcoachacademy.com, including your contact information, the work, the location of the allegedly infringing material, a good-faith statement, a statement under penalty of perjury that your notice is accurate and that you are authorized to act, and your signature. We may terminate repeat infringers.
14. Third-party services
The Services rely on and link to third-party services, such as payment processors, messaging carriers, background check providers, and app stores. Their terms and privacy policies govern your use of them. CCA is not responsible for third-party services. If you download our app from the Apple App Store or Google Play, you also agree to that store's terms. Apple and Google are not parties to these Terms and have no obligation to support the app.
15. Safety disclaimer
CCA provides education about developing young athletes. CCA does not hire, employ, screen, supervise, or control any coach, volunteer, or Organization, and does not supervise any practice, game, or event. Our content is general and educational. It is not medical, psychological, nutritional, athletic training, or legal advice, and it is not a substitute for emergency action plans, concussion protocols, licensed professionals, or the requirements of your state, school, league, or governing body.
Sports involve inherent risk of injury. You are responsible for decisions you make as a coach, parent, or Organization, and for following all applicable laws and safety rules.
In plain terms
We teach. We do not supervise anyone on the field. Organizations still need their own screening, background checks, and required safety training.
16. Warranty disclaimer and limitation of liability
The Services and all content, credentials, and AI output are provided "as is" and "as available." To the fullest extent permitted by law, CCA disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. We do not warrant that the Services will be error-free or uninterrupted, or that any coach, volunteer, or Organization is safe, qualified, or suitable.
To the fullest extent permitted by law, CCA and its members, managers, officers, employees, contractors, advisors, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, or for any personal injury or property damage arising from the conduct of any coach, volunteer, Organization, parent, or other user. Our total liability for all claims relating to the Services is limited to the greater of (A) the amounts you paid us in the 12 months before the event giving rise to the claim, or (B) one hundred U.S. dollars ($100).
Some jurisdictions do not allow certain disclaimers or limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law, including liability for gross negligence, willful misconduct, or fraud.
17. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless CCA and its members, managers, officers, employees, contractors, and advisors from claims, losses, and expenses, including reasonable attorneys' fees, arising from your use of the Services, your content, your violation of these Terms or of law, or, for Organizations, your programs, personnel, data collection, payments, and background check practices.
18. Dispute resolution and arbitration
18.1 Informal resolution first
Before filing a claim, you and CCA agree to try to resolve the dispute informally for at least 30 days. Send a written notice describing the dispute and the relief you want to support@clearcoachacademy.com. We will send notices to the email on your account.
18.2 Binding individual arbitration
If the dispute is not resolved, you and CCA agree that any dispute arising from or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules or, for Organizations, its Commercial Arbitration Rules. The Federal Arbitration Act governs this section. The arbitration will take place in Harris County, Texas, or by video or written submission if the parties agree. For consumer claims, CCA will pay AAA filing and arbitrator fees beyond what you would pay to file in court, unless the arbitrator finds your claim frivolous.
18.3 Exceptions
Either party may bring an individual claim in small claims court, and either party may seek an injunction in court to stop infringement or misuse of intellectual property or unauthorized access to the Services.
18.4 Class action and jury waiver
You and CCA agree that claims may be brought only in an individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding, and you and CCA waive any right to a jury trial.
18.5 Your right to opt out
You may opt out of this arbitration agreement by emailing support@clearcoachacademy.com within 30 days after you first accept these Terms, with your name, account email, and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
18.6 Severability
If the class action waiver is found unenforceable for a claim, that claim must be severed and heard in court, and the rest of this section still applies. Disputes not subject to arbitration will be heard exclusively in the state or federal courts located in Harris County, Texas, and both parties consent to that jurisdiction.
19. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs Section 18.
20. Suspension and termination
You may close your account at any time from your account settings or by contacting us. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the safety of minors, users, or the Services. Sections that by their nature should survive termination will survive, including Sections 5.5, 5.6, 8, 13, and 15 through 21. Credential records may remain available through the verification portal as described in our Privacy Policy.
21. General terms
- Changes. We may update these Terms. If a change is material, we will notify you by email or in the Services at least 30 days before it takes effect. Continued use after the effective date means you accept the updated Terms.
- Entire agreement. These Terms, the Privacy Policy, and any Organization order form or signed agreement are the entire agreement on this subject.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Severability and waiver. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
- Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control.
- Electronic communications. You agree to receive notices electronically, and that electronic notices satisfy any requirement that they be in writing.
- Export and sanctions. You represent that you are not located in a sanctioned country or on a U.S. government restricted-party list.
